Charter (2002)
NOTE:
The Association's Charter has undergone revision at the last
two annual meetings. The amended Charter will be posted
when time permits. As the Founding Charter represents the
principle concepts of the current charter, it is presented here.

Secretary
ARTICLE I
Name and Geographic Area
Section 1. This organization shall be known as the
"Utah British Isles Association," or simply the "UBIA."
Section 2. The geographic area covered by this
organization
shall be the state of Utah.
ARTICLE II
Objectives
The objectives of this organization shall be as follows:
To share with our children and our community the culture
and
heritage of the United Kingdom and Ireland.
To conduct an annual festival celebrating the cultures of
England, Scotland, Ireland, Wales, the Channel Islands,
and the
Isle of Man.
To facilitate the creation of a web site to link individuals
and associations interested in the culture and heritage of
the
British Isles.
To cooperate with the Utah office of the British Consulate
for
special visits, receptions, and other events.
To conduct any other activity deemed appropriate by the
board
to further the appreciation of the heritage and cultural
of the
British Isles.
ARTICLE III
Association Board Membership
Section 1. The association shall be governed by a twelve
member board, six of which are selected and sent by various
cultural societies. This includes one representative each from
the
Utah Scottish Association, the Utah Welsh Society, the
Hibernian
Society of Utah, a Utah English organization, a
Utah Manx
organization, and a Utah Channel Islands
organization. In the case
that no organization for a cultural
group exists in Utah, or that
no representative is designated
by a cultural group, the
association board shall appoint an
individual to fill that
representative post. The only require-
ment being that the
individual be somehow affiliated,
through descent or association,
with the cultural group
being represented.
The remaining six board members are officers: the
Immediate
Past President, President, First Vice President,
Second Vice
President, Secretary, and Treasurer.
Section 2. Membership on the board of this association
shall be open to any Utah resident interested in supporting
the
objectives, goals and programs of this association.
Section 3. At an annual meeting to be held each August of
each calender year, the outgoing President becomes the
Immediate
Past President, the First Vice President becomes
the President,
the Second Vice President becomes the First
Vice President, and a
new Second Vice President is elected
by those in attendance and
must be accepted by a majority
of the board.
Section 4. At the annual meeting in even numbered years a
new Secretary shall be elected by those in attendance and
must be
accepted by a majority of the board. At the annual
meeting in odd
numbered years a new Treasurer shall be
elected by those in
attendance and must be accepted by a
majority of the board. Term
of office for both shall be two
(2) years.
Section 5. Any board member with three (3) or more
un-excused consecutive meeting absences will be
considered
resigned and a replacement appointed for the
remainder of their
term by the board at the earliest
opportunity. If it is the
President or one of the Vice
Presidents who has resigned, they
shall be replaced by
their next in line (i.e. President replaced
by First Vice, etc.).
Any board member that is a cultural group
representative
with three (3) or more un-excused consecutive
meeting
absences will be considered resigned and a replacement
sought from their respective cultural group at the earliest
opportunity.
ARTICLE IV
Duties of Officers
Section 1. The board shall be presided over by a President,
who has the duty to conduct and direct the effort and activity
of
the committee.
Section 2. The board shall have a First Vice President, who
shall preside over the committee in the absence of the
President.
Section 3. The board shall have a Second Vice President,
who shall preside over the committee in the absence of
both the
President and First Vice President.
Section 4. The board shall have a Secretary.
The Secretary shall be responsible for maintaining a roster
of
current board members and the dates of their committee
membership,
as well as interested individuals and
organizations.
The Secretary shall take minutes of each meeting and
e-mail
those to each board member prior to the next meeting.
The Secretary shall also create an agenda for each meeting,
coordinating with the President for content.
Section 5. The board shall have a Treasurer to track the
finances of the association.
ARTICLE V
Board Meetings
Section 1. Board meetings shall be held on a monthly basis.
Section 2. Members of the board can request and the
President may call special meetings of the board as
deemed
necessary.
Section 3. Whenever practical, Robert.s "Rules of
Order"
shall govern proceedings.
ARTICLE VI
Amendments
Section 1. Amendments to this charter may be proposed
by
any member of the board.
Section 2. Amendments may be adopted by a simple
majority
of board members present at a regular or special
meeting where
notice has been given of discussion of
such amendment action.
